The Vegas Ventures service and network (collectively, "Vegas Ventures" or "the Service") are operated by WW Ventures, LLC and its corporate affiliates (collectively, "us", "we" or "the Company"). By accessing or using our web site at www.vegasventures.com, you signify that you have read, understand and agree to be bound by these Terms of Use ("Terms of Use" or "Agreement"), whether or not you are a registered member of Vegas Ventures. We reserve the right, at our sole discretion, to change, modify, add, or delete portions of these Terms of Use at any time without further notice. If we do this, we will post the changes to these Terms of Use on this page. Your continued use of the Service or the Site after any such changes constitutes your acceptance of the new Terms of Use.

Membership Terms and Conditions
These Terms and Conditions apply to the membership of the person whose name or membership number was used to log on to this site ("you”, “your"). This membership ("Membership") is an optional service provided or administered by WW Ventures, LLC / 1027 S. Rainbow Blvd # 602F / Las Vegas, NV 89145 ("Vegas Ventures,” “We," "Us" or "Our").

The Service
In exchange for payment by you of the current membership fee, you may obtain the Membership. The benefits of the Membership consist of discounts and savings opportunities as described in this membership website. WW VENTURES, LLC reserves the right to change the specific services included in the Membership and reserves the right to modify these terms and conditions without notice. WW VENTURES, LLC reserves the right to limit discounts. WW VENTURES, LLC reserves the right to change the content of the membership website at any time. We reserve the right to cancel your membership at any time for any reason.

Definition of Terms

Registered Member	Registered membership refers to a member has chosen not to pay for membership at this time. Registered membership is a temporary status that will no longer be available after achieving the required enrollment of 5000 members. Upon reaching the enrollment of 5000 members, “Registered” members will be required to pay their membership dues within 5 days of announcement. Memberships ID #’s are NOT provided to registered members.
Active Member	Active membership refers to those members who have elected to pay their yearly membership in installments. Active membership is upgraded to “All-Access” membership upon providing full-payment of yearly dues. Active membership has access to all benefits except VIP and Limousine service.
All-Access Member	All-Access members have paid their yearly membership in full and have access to all program services and benefits.
VIP Nightclub Access	VIP Nightclub Access will include VIP line and cover charge. Available clubs will depend upon popularity and demand at any specific time. Nightclub limitations may include: A minimum 30 day advance notice will be required for all VIP reservations VIP reservations will not be accepted more than 60 days in advance. A maximum of 50 slots will be available at each club per night. Members may only reserve 1 club slot per night with a maximum of 2 nights per week. Availability subject to increase as program enrollment grows.
Limousine Service	Vegas Ventures transportation to and from the Las Vegas airport. Additional transportation may be available dependent upon limo schedule and number of members vacationing in Las Vegas. Restrictions may include: Limo service will require a minimum of 30 days advance notice for reservations Limo service will not accept reservations more than 60 days in advance A maximum of 100 members per day will have access to the Vegas Ventures limo Limo service will be offered between 10am and midnight Thursday – Monday of each week. Availability subject to increase as program enrollment grows.
Monthly Events	A minimum of one event will be offered to Vegas Ventures members each and every month. Events will either be sponsored (FREE) or offered at a discounted rate. As member enrollment grows, so will the scale of the events offered. Future expectations will be to offer opportunities such as NASCAR, UFC Fights, Tours, Concerts, Movie Premieres, Award Shows and Celebrity hosted events
Travel Portal	The Vegas Ventures Travel Portal will be your one-stop location for scheduling and reserving your Vegas Vacation. While using the travel site will not be a requirement for membership, it will be highly recommended. Future programs will include travel credits/awards for scheduling all of your individual, family or friends travel. The Vegas Ventures Travel Portal will begin 8-weeks post the launch of the membership program.
Social Network	The Vegas Ventures Social Network will be similar in features to most of the most popular social networks available today. It will be focused only on Las Vegas and tied in to other future features which shall include: Events (March Madness, Fantasy Sports Leagues, etc…) Travel Planning Proactive Community Travel Discounts Referral programs and tracking of status Much, much more! The Vegas Ventures Social Network will begin 8-weeks post the launch of the membership program.
Travel Discounts	Vegas Ventures will offer travel discount opportunities to its member on a regular basis. Discounts could come from local Vegas businesses, Vegas Ventures sponsored lodging/travel or package opportunities at special events
Monthly Communication	Prior to completion of the Vegas Ventures Social Network, member communication will be delivered via your “My Account” page and monthly HTML formatted emails.
All-Expense Paid Trips	Every week of the year, Vegas Ventures will randomly select a member to receive an all-expense paid trip to Las Vegas. Awarded trips will have the following guidelines and limitations: Trip must be taken a minimum of 6-weeks and a maximum of 90-days from award date. Airfare (per person) must not exceed $400 Golf Option – 18-Holes of golf will be scheduled at one of Las Vegas premiere courses. Round not to exceed $250 ($500 total). Spa Package – Upon availability and choice of lodging, Vegas Ventures will provide a day of pampering for you and your guest. (Not to exceed $500) Gambling – Vegas Ventures will provide you a credit at the casino of your choice of $500. Clubbing – At the club of your choice, we will provide you with VIP Booth and 2 bottles of available spirits (not to exceed $600) Food – Vegas Ventures will provide a steak dinner for 2 at Smith & Wolensky’s on the strip. (Not to exceed $300). If you need more nourishment…it’s up to you!
Community	Community refers to the members of Vegas Ventures.
Charitable Contributions	A percentage of monthly sales will be provided to Children’s Hospital and other preferred programs.
$250 Travel Vouchers	Prior to launching the membership program, Vegas Ventures will be awarding $250 travel vouchers to registered members. Awards will be providing by random “lottery” type selection. Each registered member will be identified by their “registration” number. Travel vouchers will be given away at the following growth milestones: First 500 registered members First 1000 registered members First 2000 registered members First 3000 registered members First 4000 registered members First 5000 registered members
Race to 5000	The Race to 5000 begins April 14th, 2008 when the first opportunity to register will become available. Until enrollment of 5000 members is achieved, Vegas Ventures services and benefits will not be available. To maintain excitement and build opportunities for its members, it will literally be a race for us to spread the word and build our community ASAP!

Representation and Warranty
ALL MATERIALS AND INFORMATION (“MATERIALS”) PROVIDED BY WW VENTURES, LLC ARE PROVIDED “AS IS”, AND WW VENTURES, LLC MAKES NO REPRESENTATION OR WARRANTY, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL WW VENTURES, LLC BE LIABLE FOR ANY LIABILITY WHETHER IN CONTRACT, TORT OR OTHERWISE FOR ANY LOSSES OR DAMAGE ARISING OUT OF OR RELATING TO THIS AGREEMENT. IN NO EVENT SHALL WW VENTURES, LLC BE LIABLE FOR ANY INDIRECT OR CONSEQUENTIAL LOSSES INCLUDING, WITHOUT LIMITATION, ANY LOSS OF PROFITS, CONTRACTS, PRODUCTION OR USE.

Renewal
The Membership Agreement shall automatically renew upon each anniversary date, unless terminated in accordance with "Termination" below.

Termination
The Membership Agreement may be terminated:
By either party giving to the other sixty (60) days notice in writing before any anniversary of the date hereof. By WW Ventures, LLC on written notice to the Member if the Member has committed any material breach of the Membership Agreement and in the case of a breach capable of being remedied has failed to remedy the breach, within 30 days after the receipt of a written request in writing from Vegas Ventures notifying the Member of such breach. By WW Ventures, LLC on written notice to the Member if the Member fails to pay any sum(s) due to WW Ventures, LLC under the Membership Agreement. For the avoidance of doubt, termination of the Membership Agreement for any reason shall not entitle the Member to any refund of the annual sum due under the Membership Agreement.

Governing Law
The Membership Agreement shall be governed by and interpreted in accordance with the laws of the State of Nevada.

Confidentiality
Member agrees to the following obligations of confidentiality with respect to information received through participation in the Forum(s): Any written, graphic or other tangible or electronic form furnished or disclosed to WW Ventures, LLC or any other party in the course of the Forums’ activities and/or as a result of Member’s use of any materials (“the Information”) should be deemed the property of WW Ventures, LLC, and shall be returned to WW Ventures, LLC upon request. Member agrees to maintain all Information in confidence, using the same degree of care Member uses to protect its own proprietary information of like importance, but in no event less than a reasonable degree of care. Member agrees to disclose Information only with a need to know for purposes of advancing the work of the Forums and to require each such agent to comply with the confidentiality terms set out in this Agreement. The provisions set out in these Terms and Conditions shall not apply to Information which:

i) is or becomes a part of the public domain, ii) is demonstrably known to Member prior to disclosure within the Forums, iii) was independently developed by the Member outside of the Membership Agreement, iv) was rightfully obtained by Member from third parties with no obligation of confidentiality.

The obligations of confidentiality set out above shall remain in effect for the duration of the Membership Agreement.

Representation and Warranty
ALL MATERIALS AND INFORMATION (“MATERIALS”) PROVIDED BY WW VENTURES, LLC ARE PROVIDED “AS IS”, AND WW VENTURES, LLC MAKES NO REPRESENTATION OR WARRANTY, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL WW VENTURES, LLC BE LIABLE FOR ANY LIABILITY WHETHER IN CONTRACT, TORT OR OTHERWISE FOR ANY LOSSES OR DAMAGE ARISING OUT OF OR RELATING TO THIS AGREEMENT. IN NO EVENT SHALL WW VENTURES, LLC BE LIABLE FOR ANY INDIRECT OR CONSEQUENTIAL LOSSES INCLUDING, WITHOUT LIMITATION, ANY LOSS OF PROFITS, CONTRACTS, PRODUCTION OR USE. The Member acknowledges that because of the special nature of WW Ventures, LLC it is reasonable for WW Ventures, LLC to exclude liability as above and for the Member to take measures, including insurance where appropriate, to mitigate or prevent any potential losses that may arise (provided that such measures are not in breach of these Terms and Conditions).

WHO MAY USE
Membership is reserved for individual (paid) member use. No corporate, company, or business memberships are permitted. You agree to notify us if you become aware of any unauthorized use of your membership.

LIABILITY
WW VENTURES, LLC assumes no liability for any products or services provided by a WW VENTURES, LLC vendor or marketing partner. You agree that any claim shall be made against the vendor of such products or services and not WW VENTURES, LLC. This site may contain links to websites that are established and maintained by a party other than WW VENTURES, LLC. These links are provided for your convenience only, and we are not responsible for the content, accuracy or performance of such sites. WW VENTURES, LLC MAKES NO WARRANTY, EXPRESS OR IMPLIED, WITH RESPECT TO ANY PRODUCTS OR SERVICES SOLD OR INFORMATION DELIVERED OR PROVIDED TO YOU, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. WW VENTURES, LLC SHALL, UNDER NO CIRCUMSTANCES, BE LIABLE FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES. OUR LIABILITY TO YOU SHALL IN NO EVENT EXCEED THE AMOUNT OF THE MEMBERSHIP FEE CHARGED. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. COPYRIGHT NOTICE.
